ANI is offering SEK 11.25 in cash per share, a premium of about 12.6% over the closing price on November 4 and about 27% over the volume-weighted average price for the last 60 trading days. Shareholders holding about 42.2% of the shares, among them Frazier Life Sciences and The Invus Group, have agreed to accept the offer. ANI has said it will not raise the price unless a competing offer is made.

The board points to the value the offer delivers to shareholders, access to ANI’s US rare disease platform, and the risks of launching EMCITATE in the US on its own. EMCITATE is the first and only US-approved treatment for peripheral thyrotoxicosis in MCT8 deficiency. The offer followed a competitive process started after an unsolicited approach in the third quarter of 2026.

The acceptance period is expected to run from about November 20 to December 18, 2026, with settlement around December 29. The offer requires ANI to end up with more than 90% of the shares, and is subject to regulatory approvals including competition and foreign direct investment clearance. It has no financing condition.
