The Shanghai-based company will receive an upfront payment of USD 400 million and a first-anniversary payment of USD 110 million. Hansoh is also eligible for more than USD 15 billion in development, regulatory, and commercial milestone payments, plus tiered royalties on future sales. This is the second ADC collaboration between the two companies, following a partnership announced last year.

The agreement covers two preclinical Hansoh ADC programs and multiple programs aimed at targets proposed by Roche, all built on Hansoh’s proprietary ADC technology platform. Hansoh will lead early development through the completion of global Phase Ia trials. Roche will then take over global development, excluding the Chinese Mainland, Hong Kong, Macau, and Taiwan, where Hansoh keeps all rights. Hansoh can also choose to co-develop up to two programs outside these regions, which would give it additional upside from sales in the US.

“This new agreement reflects our shared commitment to advancing ADC innovation and underscores our strategy of leveraging our deep expertise to accelerate the development of transformative therapies for cancer patients globally,” says Eliza Sun, Executive Director of the Board, Hansoh Pharma.

“Exploring next-generation ADCs is one of the most compelling frontiers in oncology today, offering the opportunity to address critical unmet needs and accelerate potential therapies for patients worldwide,” says Boris L. Zaïtra, Head of Corporate Business Development, Roche.
