Boule exits hematology instruments, plans SEK 93 million rights issue
Boule Diagnostics will stop developing, manufacturing and selling hematology instruments, and will focus instead on consumables, service and its US contract manufacturing business. To fund the transition, the company plans a fully secured rights issue of about SEK 93 million.
Following a strategic review, the board concluded that the investment needed to stay competitive in the global hematology instrument market would not be matched by the expected returns. Boule will keep supplying consumables and service for its installed base of about 31,000 instruments, which are locked to its RFID-protected reagents. In 2025, consumables, OEM and service made up about 78% of net sales of SEK 490 million. Its Florida-based OEM CDS unit, which makes reagents, blood controls and calibrators for other diagnostics companies, had sales of SEK 134.6 million last year.
The wind-down is expected to cut costs by SEK 90–100 million a year, with full effect from the beginning of 2028. A significant part of the saving relates to personnel, and headcount in the Diagnostics business area will fall.
The rights issue is fully covered by commitments from existing shareholders and external investors, and is subject to approval at an extraordinary general meeting on December 7. About 70% of the net proceeds will go to restructuring costs, with the rest used to grow OEM CDS. An over-allotment option of up to about SEK 63 million is also planned.
